Во исполнение пункта 8 и 11 Кодекса корпоративного управления, следуя международному принципу "comply or explain" ("соблюдай или объясняй"), АО «Узагросугурта» раскрывает причины о невозможности соблюдения отдельных рекомендаций Кодекса:

В соответствии с решением общего собрания акционеров Акционерного общества «Узагросугурта» от 25 июня 2016 года было принято обязательство о соблюдении рекомендаций Кодекса корпоративного управления.

При этом, сообщаем, что в список кандидатов в состав Наблюдательного совета АО «Узагросугурта» не включены независимые члены в связи с отсутствием в составе выдвинутых акционерами кандидатов лиц, подходящих под критерии независимых членов наблюдательного совета согласно пункту 19 Кодекса.

Также, обществом не проводится ежегодный конкурсный отбор на руководящие должности в обществе, так как согласно 4 пункту действующего Постановления Кабинета Министров Республики Узбекистан за №125 от 06.03.1997 «О вопросах организации деятельности государственно-страховой компании «Узагросугурта» и в соответствии
с Указом Президента Республики Узбекистан от 25 февраля 1997 года № УП-1713 «О создании Государственно-акционерной страховой компании «Узагросугурта» Кабинет Министров по представлению министра финансов Республики Узбекистан назначает Председателя правления общества.
